These Terms & Conditions apply to services provided by Lindie Oben, a sole trader trading as Project Help Desk (“Project Help Desk”, “we”, “us” or “our”).

By booking, purchasing or using a Project Help Desk service, you agree to these Terms & Conditions.

1. Business clients only

Project Help Desk provides services to businesses, sole traders, partnerships and organisations purchasing for business purposes.

By purchasing a paid service, you confirm that you are acting wholly or mainly for purposes connected with your trade, business or profession.

Our services are not intended for personal or consumer projects.

2. Our services

Project Help Desk provides project-management support, including:

  • Project Setup;

  • Project Rescue Review;

  • Ongoing Project Support;

  • Discovery Calls; and

  • other project-management services agreed in writing.

The specific scope, price, duration and deliverables for your service will be those displayed on our website, booking page, checkout page, proposal or written confirmation at the time you purchase.

Anything not expressly included in the agreed scope is outside the service and may require additional fees.

3. What Project Help Desk does not provide

Project Help Desk provides project-management support only.

We do not provide legal, financial, tax, accounting, HR, engineering, architectural, surveying, health and safety, construction-management or other regulated professional advice.

Where specialist advice is required, you remain responsible for obtaining advice from an appropriately qualified professional.

 

4. Excluded projects and sectors

Project Help Desk does not accept engagements involving:

  • local authorities, councils or other local-government bodies;

  • central government departments, government agencies or public bodies;

  • projects commissioned by or delivered on behalf of the public sector;

  • projects funded wholly or partly through government, local-authority or other public-sector funding, grants or programmes;

  • private contractors, consultants or delivery partners where the underlying project is being delivered for, funded by or directly connected to one of the above;

  • construction or building works;

  • property-development or works-delivery projects;

  • housing improvement works;

  • retrofit or domestic energy-efficiency programmes;

  • engineering or installation works; or

  • procurement, contract management or project delivery directly connected with these excluded areas.

If you are unsure whether your project falls within an excluded category, you must tell us before purchasing a service.

We may decline an enquiry or terminate an engagement if we reasonably believe the work falls within an excluded category.

If an excluded connection was not disclosed before purchase and only becomes apparent after work has started, we may stop providing the service. You will remain responsible for the reasonable value of work already completed and any remaining amount paid will be dealt with in accordance with our cancellation and refund provisions.

5. Independence and conflicts of interest

Project Help Desk operates independently.

Project Help Desk is not affiliated with, endorsed by or acting on behalf of any employer, local authority, government body, public programme or other organisation with which the proprietor may separately have a professional relationship.

Services provided through Project Help Desk are entirely separate from any other employment or professional role undertaken by the proprietor.

Clients must not request or expect access to confidential information, contacts, systems, intellectual property or non-public knowledge belonging to another employer, client, public body or organisation.

We may refuse or terminate any engagement where we reasonably identify an actual or potential conflict of interest.

6. Booking and contract formation

Information displayed on our website is an invitation to purchase a service.

A contract is formed when:

  1. you submit a booking or order;

  2. any required payment has been successfully received; and

  3. Project Help Desk confirms the booking or purchase.

We reserve the right to decline an order where there is a conflict of interest, capacity issue, excluded project, incorrect pricing, inappropriate request or other reasonable business reason.

A free Discovery Call does not oblige either party to enter into a paid engagement.

7. Payment

Unless otherwise stated, fixed-price services must be paid in full before work begins.

Ongoing Project Support and other plans are payable in accordance with the pricing and plan terms displayed at checkout.

Prices shown at the point of purchase apply to that order.

Additional work outside the agreed scope will not be carried out without discussing the additional scope and price with you first.

Where an invoice is issued separately, payment must be made by the due date stated on the invoice.

For qualifying business-to-business debts, Project Help Desk reserves its statutory rights in relation to late-payment interest and recovery costs. UK law currently permits statutory interest of 8% above the Bank of England base rate for qualifying late commercial payments, together with applicable recovery costs.

8. Project Ready Date and delivery times

Any stated delivery timeframe for Project Setup or Project Rescue Review begins only once the project reaches Project Ready status.

Your project is Project Ready when:

  • full payment has been received;

  • the required Project Brief has been completed;

  • all information and documents reasonably requested by us have been supplied; and

  • the required kick-off, diagnostic or initial call has taken place.

Unless otherwise stated, the delivery period begins on the next Working Day after the Project Ready Date.

A Working Day means Monday to Friday, excluding public and bank holidays in England.

Any timeframe shown before Project Ready status is an estimate only.

9. Client information and delays

You are responsible for providing information that is complete, accurate and reasonably up to date.

Our work and recommendations will be based on the information you provide.

If information, approvals, documents, access or decisions are provided late:

  • the delivery timetable may be paused or extended;

  • previously agreed dates may no longer apply;

  • Project Help Desk will not be responsible for delays caused by the missing information; and

  • a client-caused delay does not automatically create a right to a refund.

Where we ask for additional information during delivery, the delivery clock may be paused until that information is received.

If a client becomes unresponsive for more than 10 Working Days, we may place the engagement on hold and require a new delivery date before work resumes.

10. Client responsibilities

You agree to:

  • provide timely and accurate information;

  • attend agreed calls and meetings;

  • provide reasonable access to relevant project documents;

  • make decisions and approvals when required;

  • ensure that you have the right to share any information or documents you provide;

  • review deliverables and raise questions within a reasonable period; and

  • remain responsible for business decisions and implementation.

Project Help Desk supports and advises on projects but does not take over the client's legal or managerial responsibility for the business or project.

11. Project Setup

Where Project Setup is purchased, the service will include only the support and deliverables stated on the relevant service page at the time of purchase.

The current standard turnaround is 5 Working Days from the Project Ready Date, unless a different timeframe is agreed in writing.

Project Setup does not include ongoing delivery management unless Ongoing Project Support or another service is purchased separately.

12. Project Rescue Review

Project Rescue Review is a review and recovery-planning service.

It does not mean that Project Help Desk guarantees to repair, deliver or complete the entire underlying project.

The service may include reviewing the current position, identifying blockers or risks, resetting priorities and providing recommendations or a recovery action plan.

The current standard turnaround is 7 Working Days from the Project Ready Date, unless otherwise agreed.

Implementation of the recovery plan is outside the scope unless separately purchased or agreed.

13. Ongoing Project Support

Ongoing Project Support is provided in accordance with the plan purchased and its separate Plan Policy.

Where a plan provides a defined number of sessions:

  • sessions must be used during the active plan period;

  • unused sessions do not roll over unless expressly agreed;

  • sessions are subject to availability;

  • missed appointments and late cancellations may be treated as used sessions in accordance with our Booking Policy; and

  • additional support outside the purchased allowance may require an additional fee.

The plan does not guarantee that a particular project will be completed within the plan period.

Where Project Setup or Project Rescue Review is purchased as an add-on, the checkout description and any written confirmation will determine how that add-on interacts with the Ongoing Support period.

14. Calls, cancellations and rescheduling

Appointments may be cancelled or rescheduled with at least 24 hours' notice.

Where less than 24 hours' notice is provided, or a client does not attend:

  • a paid session may be treated as used; and

  • we may not be able to offer a replacement session without an additional charge.

If Project Help Desk needs to cancel or reschedule an appointment, we will offer an alternative appointment at no additional cost.

15. Cancellation and refunds

We want our cancellation arrangements to reflect work actually undertaken rather than operate as a penalty.

For fixed-price services:

  • where you cancel before substantive work has begun, we will normally refund sums relating to work not yet undertaken;

  • where work has already started, we may deduct or retain a reasonable amount reflecting work already completed and costs reasonably incurred;

  • once the agreed service and deliverables have been completed, refunds are not provided simply because you change your mind; and

  • where we materially fail to provide the agreed service, we will work with you to put matters right in accordance with these Terms and applicable law.

Plan-specific cancellation terms may apply to Ongoing Project Support.

Nothing in these Terms limits any statutory rights that legally apply.

UK guidance requires contractual terms—including cancellation provisions—to be fair and transparent, and business contracts remain subject to legal controls on unreasonable exclusions.

16. Changes to scope

Projects change.

If you ask us to perform work outside the purchased service, we may:

  • quote separately for the additional work;

  • recommend another Project Help Desk service;

  • extend the delivery timeframe; or

  • decline the additional request.

We will not charge for material additional work without your agreement.

17. No guaranteed outcome

Project Help Desk will provide services with reasonable care and skill.

However, project outcomes depend on many factors outside our control, including decisions made by the client, third parties, budgets, resources, suppliers, employees and changing business circumstances.

We therefore do not guarantee:

  • completion of an underlying project;

  • achievement of particular financial or commercial results;

  • achievement of a particular deadline belonging to the underlying project;

  • performance by third parties; or

  • that following our recommendations will produce a particular outcome.

Our responsibility is to provide the agreed Project Help Desk service, not to guarantee the wider project's success.

18. Intellectual property

Unless otherwise agreed, Project Help Desk retains ownership of:

  • pre-existing templates;

  • methodologies;

  • processes;

  • frameworks;

  • tools;

  • know-how; and

  • reusable materials developed independently of your engagement.

Once full payment has been received, you may use bespoke deliverables prepared specifically for your project for your own internal business purposes.

You may not sell, licence, publish or commercially redistribute Project Help Desk templates, tools or materials without written permission.

Project Help Desk may continue to use its general skills, experience, methods and non-confidential know-how in work for other clients.

19. Confidentiality

Each party agrees to keep confidential information received from the other party reasonably confidential and to use it only for the purpose of the engagement.

This does not apply to information that:

  • is already publicly available through no breach of these Terms;

  • was lawfully known before disclosure;

  • is lawfully obtained from another source; or

  • must be disclosed by law.

We will not publish your business name, testimonial, project details or case study without appropriate permission.

20. Data protection

Personal information will be handled in accordance with the Project Help Desk Privacy Policy.

You are responsible for ensuring that you are entitled to provide us with any personal information contained in project documents.

Where Project Help Desk processes personal information on your behalf in circumstances requiring additional data-processing terms, we may require an appropriate written agreement before beginning that part of the work.

21. Associates and subcontractors

Project Help Desk may use suitably experienced associates, freelancers or subcontractors to assist in delivering services.

Where this happens, they will only receive information reasonably necessary to perform their role and will be expected to maintain appropriate confidentiality and data-protection standards.

Project Help Desk remains responsible for managing the agreed service.

22. Third parties

We are not responsible for the acts, omissions, delays or failures of third parties such as:

  • suppliers;

  • contractors;

  • software providers;

  • client employees;

  • stakeholders; or

  • other professional advisers.

Where we recommend a third-party tool, provider or approach, you remain responsible for deciding whether it is suitable for your business.

23. Limitation of liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to that, Project Help Desk will not be liable for indirect or consequential losses, or for loss of profits, revenue, business opportunity or anticipated savings, to the extent such liability may lawfully be excluded.

Our total aggregate liability arising from a particular service will not exceed the total fees paid by you for the service giving rise to the claim, to the extent that such limitation is lawful and reasonable.

Limitations of liability in business contracts are subject to legal reasonableness requirements, so this is one clause I would specifically have checked by a solicitor once the business starts generating meaningful revenue.

24. Events outside our control

We will not be responsible for delays caused by events outside our reasonable control.

This may include serious illness, widespread technology failure, power or internet outage, natural disaster, industrial action, government restrictions or other events that make delivery temporarily impossible.

We will contact you as soon as reasonably possible and discuss revised arrangements.

25. Ending an engagement

Project Help Desk may suspend or terminate an engagement where:

  • payment is not made when due;

  • the client repeatedly fails to provide required information;

  • the client behaves abusively or inappropriately;

  • the client requests illegal, unethical or unsafe work;

  • a conflict of interest arises;

  • the project falls within an excluded area under section 4; or

  • continuing the engagement is reasonably impracticable.

Where an engagement ends, you remain responsible for fees relating to work already completed.

Any remaining amount will be handled in accordance with the cancellation and refund provisions above.

We will aim to acknowledge complaints promptly and deal with them fairly and reasonably.

27. Changes to these Terms

We may update these Terms from time to time.

The Terms that apply to a particular paid engagement will normally be the version in effect when that service was purchased, unless a change is required by law or subsequently agreed between us.

28. Governing law

These Terms and any dispute arising from them are governed by the law of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any mandatory legal rights that apply.
